Failure to file annual statements is a massive red flag. Usually, this means the auditors found something they won't sign off on, or the internal accounting is a mess. Hard to trust the carbon credits coming out of a firm that cannot produce a basic balance sheet.

A CRA audit on top of an OSC cease trade order is a bad combination. This looks like a systemic collapse of corporate governance rather than a simple filing delay.
